6. Limitation of Liability

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Any dispute, controversy, or claim arising out of or relating to these terms or the breach thereof shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty calendar days through negotiation, either party may pursue resolution through binding arbitration or, where applicable, through the courts of competent jurisdiction.

Broaden Joy shall not be liable for any failure or delay in performance of its obligations under these terms resulting from circumstances beyond its reasonable control. Such circumstances include, but are not limited to, acts of God, natural disasters, war, terrorism, civil unrest, government orders or regulations, epidemic or pandemic conditions, labor disputes, failures of telecommunications or internet infrastructure, electrical power outages, and any other event that cannot reasonably be anticipated or controlled.

In the event of a force majeure condition, we will make reasonable efforts to notify affected clients and to resume performance as soon as practicable. If a force majeure event continues for more than thirty calendar days, either party may terminate the affected consulting engagement upon written notice to the other party.

13. Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these terms.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect. The parties agree to negotiate in good faith to replace any severed provision with a valid provision that most closely reflects the original commercial intent.

14. Entire Agreement
